Terms and Conditions
1.1 Cloud Assistant will not, at any time, either directly or indirectly, divulge, disclose or communicate in any manner, any information that is proprietary to the client. All information will be treated as strictly confidential and will not be used for the personal benefit of Cloud Assistant. This provision will continue after the termination of any agreement.
1. 2 Any client documentation required for specific tasks will be held securely on file for 3 months after which it will be destroyed. If you would prefer an alternative retention period, you are required to notify Cloud Assistant in writing before commencement of any work.
1.3 Cloud Assistant is happy to sign any non-disclosure or confidentiality agreement as required by the client.
2.0 Commencement and Cancellation
2.1 A signed booking form is required before work will commence. Booking forms contain details of the work to be carried out, timescales and fee quotation. The signed document indicates the client’s acceptance of Cloud Assistant’s Terms and Conditions.
2.2 Should a client’s original requirements change, Cloud Assistant reserve the right to amend the original quotation.
2.3 Should a client stop or suspend any work, Cloud Assistant shall be entitled to full and immediate payment for work undertaken.
3.0 Payment Terms
3.1 Time is charged in increments of 15 minutes for our hourly service with time rounded up to the nearest quarter of an hour.
3.2 Minimum invoice amount is one hour.
3.3 Cloud Assistant reserves the right to request either 50% or full payment in advance dependent on the type and extent of the work to be undertaken.
3.4 Payment for work is due 14 days from the date of invoice.
3.5 Pre-paid hours are billed in actual time.
3.6 Postage and Courier Fees are not included in our hourly and rate and will be billed separately at cost.
3.7 Non-standard office supplies are not included in our hourly rate and will be billed separately at cost.
3.8 Telephone calls under 15 minutes and to land lines will be included in our hourly rate. Calls to mobiles or for durations of 15 minutes or longer will be charged at the prevailing Skype rate.
4.0 Retainer and Pre-Paid Terms
4.1 Notice period is 1 month after the contract period
4.2 Payment is due in advance
4.3 Unused hours can be carried forward for 1 month only, subsequent carry overs will be at the discretion of Cloud Assistant
4.4 Additional hours will be agreed in advance and billed at the discounted hourly rate
4.5 If the retainer package commences part way through a month, the first payment shall include the pro-rated amount for the partial month along with payment for the first full month.
5.1 Cloud Assistant cannot be held responsible for any loss or damage to data or equipment relating to any task, during transit to/from Cloud Assistant’s premises.
5.2 For insurance purposes, client visits to Cloud Assistant’s premises cannot be accommodated.
5.3 Final proofreading and checking of all work supplied is the responsibility of the client. Errors generated by Cloud Assistant will be corrected free of charge providing notification is provided within 7 days of completion of the work. Amendments/alterations other than those previously stated, will be charged at the appropriate hourly rate.
6.0 Disclaimer and Applicable Law
6.1 Cloud Assistant cannot be held responsible for the end use or content of any material, document or other, produced or edited on behalf of a client.
6.2 In the event of dispute this agreement will be governed by the law of England and Wales.
